Full Rules for the TIFF 2010 Midnight Madness Contest

Welcome to Cineplex Entertainment LP’s “Cineplex Blog TIFF Midnight Madness” contest (“Contest”).

By entering this Contest, you acknowledge that you have read, understood and accept the terms and conditions below (collectively the “Official Rules”).

Sponsor and Administrator: Cineplex Entertainment LP (“Sponsor”) is responsible for conducting and administering this Contest.

1. How to Enter:

No purchase necessary. The Contest begins at 12:01 PM E.T. on Friday August 27^th and ends at 12:00 PM E.T. on Friday, September 3rd, 2010 (“Contest Period”). To enter the Contest, you must go to the article (http://www.cineplex.com/News/TIFFs-Midnight-Madness-lineup-brings-big-stars-and-big-thrills.aspx) and submit your comment. You must submit a valid email address to be eligible.

To Compete for a chance to win a Midnight Madness pass for 10 movies:

Tell us which TIFF Midnight Madness film you most want to see and why? Give us your best and most creative answer for a chance to win.

Entries must meet the following conditions. Any entries that do not meet these conditions will be considered ineligible any maybe removed from the website:

- Entry must not be longer than 200 words;

- Entry must be an original work of the entrant, and must not infringe on the copyright, moral rights, personality rights, or any other rights of any third party; and

- Entry, including its title and description, must be in keeping with the corporate image of the Sponsor, and must not contain any offensive, obscene, pornographic, immoral, defamatory, discriminatory or illegal depictions or contain profanity or any other objectionable content, to be determined at the sole discretion of the Sponsor and the Contest Judges (as defined below).

The odds of winning will depend on the total number of eligible entries received during the Contest Period, and the skill of the entrant in creating an Entry to satisfy the Judging Criteria set out in Rule 3 below. Only one (1) Entry per natural person, screen name and per email address allowed during the Contest Period. Proof of submission does not constitute proof of receipt. In the event the Sponsor discovers attempts at multiple entries by one person using the same or multiple email addresses, each Entry will be void and the entrant disqualified at the sole discretion of Sponsor. By submitting an Entry, entrants grant to Sponsor a royalty-free, perpetual, non-exclusive, irrevocable, unrestricted, worldwide license to: (a) use, reproduce, store, adapt, translate, modify, make derivative works from, transmit, distribute, publicly perform or display such Entry for any purpose via all forms of media now known or hereafter devised; and (b) to transfer or sublicense to third parties the unrestricted right to exercise any of the foregoing rights.

Each entrant hereby acknowledges and agrees that the relationship between the entrant and any of the Contest Entities (as hereinafter defined) is not a confidential, fiduciary, or other special relationship, and that the entrant’s decision to submit his/her Entry for purposes of this Contest does not place any of the Contest Entities in a position that is any different from the position held by members of the general public with regard to elements of the Entry. Each entrant understands and acknowledges that each of the Contest Entities has wide access to ideas, stories, designs, and other literary materials. Each entrant also acknowledges that many ideas or stories may be competitive with, similar to, or identical to his/her Entry and/or each other in theme, idea, plot, format, or other respects. Each entrant acknowledges and agrees that such entrant will not be entitled to any compensation as a result of the Contest Entities use of any such similar or identical material that has or may come to the Contest Entities from other sources. Each entrant acknowledges and agrees that the Contest Entities do not now and shall not have in the future any duty or liability, direct or indirect, vicarious, contributory, or otherwise, with respect to the infringement or protection of the entrant’s copyright and/or moral rights in and to his/her Entry. Each entrant acknowledges that, with respect to any claim by entrant relating to or arising out of the Contest Entities' actual or alleged exploitation or use of any Entry or other material submitted in connection with the Contest, the damage, if any, thereby caused to the applicable entrant will not be irreparable or otherwise sufficient to entitle such entrant to seek injunctive or other equitable relief or in any way enjoin the production, distribution, exhibition, or other exploitation of any material by any Contest Entity or any material related to, based on or allegedly based on the Entry whatsoever, without limitation, and the entrant’s sole rights and remedies in any such event shall be strictly limited to the right to recover damages, if any, in an action at law.

2. Prizes:

There is (1) one prize to be won, which a Midnight Madness 10- ticket for (2) two people that can be used at the Midnight Madness screenings that run throughout the Toronto Internation Film Festival. The retail value of this prize is approximately $320 CDN.

General Prize Conditions: Prizes must be accepted as awarded, are not transferable, non-refundable, and cannot be substituted or exchanged for cash, or any other prizes. The Sponsor reserves the right, at its absolute discretion, to make substitutions of equivalent kind or monetary value in the event of unavailability of all or part of any of the prizes for any reason whatsoever.

3. Selecting winners:

Prize Judging:

All valid entries received will be judged by the Cineplex.com editorial team (the “Contest Judges”). Judging will be based on the best answer given for the following question: “Tell us which TIFF Midnight Madness film you most want to see and why?” and will be based creativity, originality and the overall impression While the answer does not have to be serious, however, it must keep in the spirit of the article. Judging will take place on Tuesday, September 7^th, 2010. In the event of a tie, all tied entries will be re-judged by an additional judge selected by Cineplex, who, using the same judging criteria, will break the tie. The Contest Judges’ and/or Cineplex’s decisions are final and binding in all matters relating to this Contest.

The Sponsor will attempt to contact the selected potential winners by email, once during business hours on Tuesday, September 7^th, 2010. The email communication will include instructions regarding where and when to redeem the prize and will include a mathematical skill-testing question which must be correctly answered by email without any aid or assistance in order to be awarded a prize. If the selected entrant does not respond to the prize notification email within one business day from the date of the email, Sponsor, at its sole discretion may disqualify the entrant and that entrant will no longer be eligible to win a prize.

4. Eligibility:

Contest is open to legal residents of the Greater Toronto Area , who are over the age of 18 as of Friday, August 27^th, 2010. Contest is not open to: (a) employees of the Sponsor, or any of their respective parent, subsidiary or affiliated companies, licensees, advertising and promotional agencies (“Contest Entities”) or other suppliers of goods or services related to the Contest; or (b) members of the immediate family (defined as parents, siblings, children or spouses, regardless of where they reside) of such employees; or (c) those with whom such employees are domiciled (whether related or not). Sponsor reserves the right to verify the age of potential prize winners and that such persons are not employees (or domiciled with employees) of any Contest Entities. Void where prohibited.

5. General Rules:

Contest Entities shall not be liable for lost, late, incomplete, garbled, misdirected, not received, stolen, mutilated, or illegible entries. By entering this Contest, each entrant accepts and agrees to be bound by the Official Rules and the decisions of the Sponsor and the Contest Judge, which are final, binding and conclusive on all matters relating to this Contest. All Entries become the property of the Sponsor and none will be returned. No correspondence will be entered into except with selected entrants who will be notified by email or telephone. The Sponsor reserves the right to disqualify any entrant who fails to comply with the Official Rules or who make any misrepresentation relating to the Contest, drawing and redemption of the prizes. This Contest is subject to all applicable Federal, Provincial and Municipal legislation.

Contest Entities shall not be responsible for any failure of the website during the Contest Period or for any problems or technical malfunction of a telephone network or lines, computer online systems, servers, access providers, computer equipment, software, failure of any e-mail, on-line, or Internet Entry to be received by the Sponsor. In addition, neither the Sponsor nor the Contest Entities shall be responsible due to technical problems, traffic congestion on the Internet or at any website, or any combination thereof including any injury or damage to an entrant's or any other person's computer or property related to or resulting from playing, downloading, or uploading any material in the Contest.

The Sponsor reserves the right, in its sole discretion to cancel or suspend this contest should a virus, bug or any other cause beyond the reasonable control of Sponsor corrupt the security or proper administration of the contest. Any attempt to deliberately damage any website or to undermine the legitimate operation of this promotion is a violation of criminal and civil laws, and should such an attempt be made, the Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law, including criminal prosecution. Entries are subject to verification and will be declared invalid if they are illegible, incomplete, mechanically reproduced, mutilated, forged, falsified, altered or tampered with in any way.

In the event of a dispute, online entries will be deemed to have been submitted by the authorized account holder of the email address submitted at the time of entry, provided that person is an eligible entrant pursuant to the Official Rules. “Authorized account holder” is defined as the person who is assigned an email address by an internet provider, online service provider, or other organization (e.g. business, educational institute, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. A selected entrant may be required to provide proof that he/she is the authorized account holder of the email address associated with the selected Entry name change. The sole determinant of the time for the purposes of a valid online Entry in this Contest will be the contest server machine(s).

If there is any advertising that is inconsistent with the rules, the rules apply and we are not responsible for the advertising errors.

6. Privacy:

By entering this Contest, each entrant consents to the use of his or her personal information by the Sponsor and its authorized agents for the purpose of administering the Contest and fulfilling prizes. At Sponsor, we are committed to respecting your desire for privacy. Any personal information that we gather will be handled in strict accordance with our privacy policy and all applicable privacy legislation. Sponsor will not sell your personal information collected for this contest to any third parties. Any personal information collected for this contest shall be used by Sponsor as is disclosed herein. Please note that by submitting personal information to Sponsor, you consent to our use as described herein http://www.cineplex.com/Global/PrivacyPolicy.aspx.

By accepting a prize, winners consent to the use of their name, address (city/province), photograph or other image, voice and/or statements by the Sponsor and its authorized agents for the purposes of advertising and promotion in any media without further notice or compensation.

7. No Liability:

Sponsor shall not be responsible in any way for the use of, or bear any liability whatsoever in any way attributable to, the Prizes awarded in this Contest or the events forming part of this Contest. By participating or accepting a prize, all entrants release and hold harmless the Sponsor and their subsidiaries, affiliates, officers, directors, employees, representatives and agencies from any and all liability or any injuries, loss or damage of any kind arising from or relating to participation in this Contest or acceptance, use, misuse or nonuse of the prize or parts thereof, and from liability to any other persons relating to or resulting from entering this Contest.
